This Membership Agreement (the “Agreement”) is entered into by and between MTAYLOR INC doing business as Make My Day Media (hereafter “Company”) and the undersigned member (hereafter “Member”). This Agreement governs the terms and conditions of Member’s participation in the Company’s membership-based photography and/or videography services.

MEMBERSHIP DETAILS

Based on the selected package, the Membership includes scheduled photoshoots and deliverables as outlined:

Each photoshoot will result in the delivery of [specific quantity] unedited images or video clips (“Deliverables”). Any additional retouching or adjustments must be agreed upon separately and may incur additional charges.

ROLL OVER SHOOTS

Unused photoshoots will roll over to the subsequent billing cycle and will expire after one (1) year. Rollovers are only available to Members with an active membership. Pausing or canceling the Membership will void access to rolled-over shoots.

MEMBERSHIP FEES

Members agree to pay the monthly membership fee associated with their chosen package:

Membership fees will be automatically charged upon sign-up, initiating the billing cycle. Fees are non-refundable and must be paid in full for the duration of the selected commitment term.

MEMBERSHIP RENEWAL

Memberships automatically renew on a month-to-month basis after the initial term unless canceled by Member with at least 14 days’ prior written notice.

PAUSING YOUR MEMBERSHIP

Members may pause their membership for up to two (2) months within any 12-month period. Written notice must be provided at least seven (7) days before the next billing cycle. Membership will automatically reactivate after the pause period, and billing will resume.

MEMBERSHIP CANCELLATION

To cancel the membership, Members must provide written notice at least 14 days before the next billing cycle. Cancellation will be effective at the end of the current billing cycle. Any unused photoshoots must be utilized before the cancellation date. Final payments are non-refundable.

EARLY TERMINATION

If Member requests to terminate this Agreement before completing the commitment term, the remaining balance of the contract must be paid in full at the time of termination. No refunds or prorated adjustments will be provided.

RIGHTS TO IMAGES

Members retain full ownership of all images or videos delivered as part of the photoshoots. The Company requests, but does not require, that Members tag the Company’s social media accounts when sharing content.

The Company retains a non-exclusive, royalty-free license to use images or videos created during photoshoots for portfolio and marketing purposes.

LIMITATION OF LIABILITY

The Company shall not be liable for any damages, including but not limited to incidental, consequential, or special damages, arising from Member’s participation in the membership or any photoshoots. Members participate at their own risk.

DISPUTE RESOLUTION

Any disputes arising from this Agreement shall be resolved through binding arbitration in Nevada. Costs shall be shared equally, with the prevailing party entitled to reimbursement of reasonable legal fees.

MISCELLANEOUS

This Agreement constitutes the entire agreement between the parties and supersedes any prior agreements or understandings. The Agreement may only be amended in writing signed by both parties. If any provision of this Agreement is found to be unenforceable, the remaining provisions shall remain in effect.

By signing, both parties agree to the terms and conditions outlined in this Agreement.
